Griffin Sound LTD - General Rental Agreement
This Agreement is entered into between Griffin Sound LTD ("the Company") and the Client named in the accompanying rental documentation ("the Client"). By renting Equipment from Griffin Sound LTD, the Client agrees to abide by the terms and conditions outlined below.
1. Definitions
1.1 "Company": Refers to Griffin Sound LTD.
1.2 "Client": The individual, business, or entity renting equipment from the Company.
1.3 "Equipment": All items provided to the Client, including audio devices, accessories, and related materials.
1.4 "Rental Period": The agreed duration for which the Equipment is rented, as detailed in the quote or invoice.
1.5 "Deposit": A payment required to secure the rental, which will be deducted from the final bill or retained as outlined in this Agreement.
2. Scope of Services
2.1 The Company provides Equipment rental services as per the specifications in the accompanying rental documentation.
2.2 Additional services, such as delivery, setup, and technical support, may be provided if outlined in the rental quote or invoice.
3. Payment Terms
3.1 Rental Fee: The Client agrees to pay the rental fees and any additional charges as specified in the quote or invoice.
3.2 Deposit:
A deposit is required upon agreement confirmation to secure the rental.
The deposit will be deducted from the final bill unless forfeited under Section 9.
3.3 Final Payment: Full payment, minus the deposit, is due as specified in the invoice terms. Late payments may incur interest at the rate specified in the invoice.
4. Delivery and Collection
4.1 Unless otherwise stated, the Client is responsible for collecting and returning the Equipment to the Company's designated premises.
4.2 If the Company provides delivery and collection services, the Client agrees to cover any associated fees.
4.3 The Client must inspect the Equipment upon receipt and notify the Company of any issues within 24 hours.
5. Use and Maintenance
5.1 The Client agrees to use the Equipment only for its intended purpose and in compliance with all relevant laws and regulations.
5.2 The Client must ensure proper care and handling of the Equipment to prevent damage or misuse.
5.3 Alterations, modifications, or repairs to the Equipment are prohibited unless authorised in writing by the Company.
6. Damage, Loss, and Insurance
6.1 The Client assumes full responsibility for the Equipment from the time it is collected or delivered until it is returned to the Company.
6.2 Any loss, theft, or damage must be reported immediately to the Company. The Client is liable for the full cost of repair or replacement.
6.3 The Client is required to maintain insurance coverage for the Equipment during the Rental Period, unless the Company agrees otherwise in writing.
7. Liability and Indemnity
7.1 The Company is not liable for any injury, damage, or loss arising from the use of the Equipment unless caused by the Company's negligence.
7.2 The Client agrees to indemnify the Company against any claims or liabilities arising from the Client's use of the Equipment.
8. Termination and Cancellation
8.1 The Company reserves the right to terminate this Agreement immediately if the Client breaches any terms herein.
8.2 In the event of cancellation by the Client:
The deposit may be forfeited based on the terms outlined in the accompanying documentation.
8.3 Upon termination or expiry of the Rental Period, the Client must return the Equipment promptly in the condition it was provided.
9. Governing Law
9.1 This Agreement is governed by and construed in accordance with the laws of England and Wales.
10. Miscellaneous
10.1 Entire Agreement: This Agreement, along with any accompanying documentation, represents the entire agreement between the parties and supersedes all prior agreements or communications.
10.2 Amendments: Any modifications to this Agreement must be in writing and signed by both parties.
10.3 Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
11. Acceptance
By signing this Agreement or accepting the Equipment, the Client confirms they have read, understood, and agree to the terms and conditions herein.
